What is the purpose of the FinSA and FinIA penal provisions?

The purpose of the penal provisions is to penalize those who do not comply with the legal requirements and also to deter them from not complying. Thus, the penal provisions of the FinSA (art. 89-92) serve to ensure that the rules of conduct as well as the rules for prospectuses and key information documents are complied with and financial instruments are not offered without authorization. On the other hand, the penal provisions of the FinIA (Articles 69-71) aim to ensure that professional secrecy and various reporting obligations are not breached.

Common to the penal provisions of both laws is that they have been limited so that the offences are only punishable if they are committed intentionally.

Who is the addressee of the penal provisions?

The addressees of the FinSA's penal provisions are those persons who are required to comply with the code of conduct, the rules on prospectuses and key information documents and the (permitted) offering of financial instruments. Hence, financial service providers, client advisors and issuers are addressed by these provisions.

On the other hand, the FinIA's penal provisions are aimed at financial institutions.
