Where does the term "prudential supervision" play a role in the FinSA?
The term "prudential supervision" is found, for example, in art. 4(3)(c) FinSA in connection with the classification of clients as professional. Moreover, this term can be found in art. 70(1)(d) FinSA determining requirements on structured product offerings. Finally, this term represents one requirement of the exemption from the client advisor's registration duty. According to art. 31 FinSO, client advisors of foreign financial service providers are exempted from the duty to register when they provide financial services in Switzerland exclusively towards professional or institutional clients and the financial service provider is prudentially supervised abroad.
Besides that, the term "prudential supervision" is used in other legal regulations, e.g. in art. 5(1)(a)(4) CISA. This shows, that the term is well acknowledged throughout the Swiss legal landscape. However, a definition of "prudential supervision" does not exist in any legal or regulatory text. This raises the question of what the legislator means by "prudential supervision".
What are the criteria for a foreign entity to be considered as subject to prudential supervision abroad?
It can be assumed that a legal entity is prudentially supervised abroad if it undertakes activities in the financial sector and therefore is licensed by a state authority. This includes that it has to comply with the licensing requirements on an ongoing basis as well as with other specific legal requirements which are supposed to be similar to the above mentioned Swiss requirements (e.g. rules of business conduct, increased requirements on liquidity, for accounting, business operations and financial guarantees). Finally, the entity's compliance with such requirements must be supervised by a responsible state authority abroad.
