The Suitability and Appropriateness Requirements of the FinSA

When applying the FinSA in its interplay with the Swiss Financial Institutions Act (“FinIA”) and the revised Swiss Collective Investment Schemes Act (“revCISA”) financial service providers also have to understand the pertaining suitability and appropriateness requirements. The rules in their interplay can be complex and the practice is still developing. How does K&E have to be assessed under the FinSA?

The FinSA requires a two-step-approach. As a first step, the client adviser has to enquire with the client whether he already has K&E with regard to a specific financial service or financial instrument. If this is not the case, the client adviser can educate the client on the specific characteristics and risks of the financial service or financial instrument. Once the client has received this education and has understood it, he/she is considered to have K&E on the respective financial service or financial instrument (see art. 14(3) FinSA).

With special reference to the process that applies in order to assess K&E of the client, please refer to question 3.8.

Do K&E as a whole package need to enable a client to understand the financial service or financial instrument or does the client need both, "K" as well as "E"?

K&E are to be considered in a holistic context. 

It is important to point out that a lack of knowledge can be "healed" by respective education from the client adviser. According to the wording of art. 14(3) FinSA, education leads to both, "K" and hence sufficient K&E as a whole. Please note in this context that simply handing out information on the characteristics and risks of a financial service or financial instrument without any further explanations is not sufficient and does not qualify as "education" in the sense of the FinSA.
