In order to register as a corporation (AG) or limited liability company (GmbH) in Switzerland, an entity must have a “domicile” or legal seat in Switzerland. For many foreign-based companies, incorporating a company under Swiss law is the first step to establishing operations in Switzerland. If there is no existing presence in Switzerland, it is usual to establish a domicile at the address of a law firm, accountancy firm or other corporate services provider. A domicile can be provided by either a (1) company: corporate services provider, law firm or other or an (2) individual. In case the provider is an individual, the background to the provision of legal domicile for the company must be given.
You must describe the purpose of the company.
Use of the Domicile Provider's address and basic secretarial assistance are included as standard.
The following additional services are eligible: (1) forwarding mail in the same manner as received, (2) note of date of receipt for deliveries from official authorities, (3) confirmation of domicile at register of commerce, (4) notify local post office of Company's domicile.
The Domicile Provider charges fees for the permission to establish a registered office and a legal domicile at its office. The basis and frequency for calculating the fee (e.g. CHF 1,000 per year, or USD 500 per quarter) must be specified. Invoicing frequency may be different and occur annually, semi-annually, quarterly or monthly. Separate Fees may be included for secretarial services in relation to the receipt and forwarding of correspondence addressed to the company. Moreover, the Domicile Provider may charge for incidental costs such as telephone, photocopying and similar administrative tasks. Payment can take place in advance in arrears. Additionally, the domicile provider may charge a handling fee for each cash outlay directly incurred on behalf of the Company such as registered post, packages or acceptance of other items from a courier.
The notice period for termination can be one month, three months or six months. This must be noted in the agreement.
This agreement is governed by Swiss law. If you do not specify the place of jurisdiction, any court which is competent under Swiss law will have jurisdiction to resolve a dispute.
