Board Appointment: AG Acceptance Letters and Signature Sheets
This set of documents is required upon election of a chairman and/ or other members of the Board of Directors, or the appointment of any officer of a Corporation (Aktiengesellschaft or AG) established in Switzerland.
The chairman and each member of the Board of Directors must accept their mandate, provide a specimen signature, and will be entered in the commercial register in the place where the corporation is incorporated.
An officer who is authorized to represent the corporation must provide a specimen signature and be entered in the commercial register.
The signatures must be provided before a notary. If the notarisation is done by a non-Swiss notary, it must be vested with an Apostille of the Hague (cross-border notarisation).
Documents are required to be provided in the official language of the relevant commercial registry. These templates are provided in German with English translation.
User-defined inputs in this questionnaire include the full name, date of birth, address, residence and function of each relevant individual.
Circumstances of Use
Acceptance letters and signature sheets are typically required on the appointment of a new member of the Board of Directors or other corporate officer of a Swiss corporation (AG).
